Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Links Flyer mobile application (“App”), website at linksflyer.com (“Website”), and all related services (collectively, the “Service”) operated by M L M Distributing, Inc. (“Company,” “we,” “us,” or “our”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account and use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Account Registration

To access the Service, you must create an account by providing a valid U.S. phone number. You will verify your identity via SMS verification code sent through our provider, Twilio. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to:

• Provide accurate and complete registration information
• Keep your login credentials secure
• Notify us immediately of any unauthorized account access
• Not create accounts on behalf of others without authorization

We reserve the right to suspend or terminate accounts that violate these Terms.

3. The Service

Links Flyer provides a platform for booking timed golf rounds (“LFG Golf”) and traditional bike rentals (“Legacy Golf”) at partner golf courses. The Service includes:

• Tee Time Booking: Browsing courses, viewing availability, and reserving LFG tee times or Legacy bike rental slots
• E-Bike Usage: Accessing electric bikes at partner courses for use during rounds, activated via NFC or QR code scanning
• In-App Currency (“Blades”): A virtual currency used to pay for tee times and bike rentals within the App
• Subscriptions (“Grass Passes”): Monthly auto-renewable subscriptions that provide Blades at varying tiers
• Competitions: Tournaments, Challenges, and Invitationals with leaderboard rankings
• Live Streaming: Recording and broadcasting rounds via the phone camera mounted on the bike dock
• Social Features: Player profiles, following, commenting, and content viewing
• Digital Ranger: Timed Legacy golf experience at participating courses
• Memberships: LFG Membership, Pioneer Club reciprocal access, Guest Passes, and Jetsetter flights
• Course Portal: A companion web platform for course staff to manage operations

4. Blades and Grass Passes

4.1 Blades

Blades are a virtual in-app currency with no real-world monetary value outside the Service. Blades cannot be transferred to other users, exchanged for cash, or redeemed outside the App. The value per Blade may be adjusted by us at any time.

4.2 Grass Passes

Grass Passes are monthly auto-renewable subscriptions processed through the Apple App Store or Google Play Store. Three tiers are available: Grasscal Flatts, Grass Half Full, and Blades of Glory. Each tier provides a set number of Blades per billing cycle. Unused Blades roll over each month, up to the number of Blades included in your current plan.

4.3 Subscription Management

You may cancel your Grass Pass at any time through your device’s subscription settings (Apple App Store or Google Play Store). Cancellation takes effect at the end of the current billing period. No partial refunds will be issued for the current billing cycle.

4.4 Refunds

Refunds of Blades may be issued in the following circumstances:

• Course-initiated date blocks that cancel your reservation
• Weather closures (full or partial refund depending on holes completed, as determined by course settings)
• Technical failures attributable to the Service

All monetary refund requests are subject to Apple and Google’s respective refund policies.

5. Payments

All financial transactions are processed through Stripe, Inc. (“Stripe”). By making a purchase, you agree to Stripe’s terms of service. We store payment card tokens - not full card numbers - through Stripe’s PCI-compliant infrastructure. You may add, remove, or update payment methods within the App.

Course-related financial transactions (green fees, bike rental fees, invoicing) are handled between the Company and partner courses pursuant to separate commercial agreements.

6. E-Bike Usage and Safety

When using LFG e-bikes at partner courses, you agree to:

• Operate e-bikes safely and in accordance with course rules
• Return bikes to the designated rack within the allotted time, including any overtime grace period
• Not tamper with, damage, or remove any component of the e-bike, including batteries and NFC/QR hardware
• Accept financial responsibility for damage to or loss of e-bikes, chargers, and equipment during your use
• Report any malfunction or safety issue to the clubhouse immediately via the walkie-talkie feature or by contacting course staff

Overtime penalties may apply if bikes are not returned within the grace period. Lost or stolen bike replacement costs are governed by the course’s contract terms.

7. Golf Club Sets

At participating courses, LFG-provided golf club sets may be available for use during your round. If you elect to use a club set:

• You must select the club set type before your round
• You are required to photograph the returned club set at the end of your round
• Missing or damaged clubs will be assessed by the course or dispatcher, and applicable charges will be billed to your account

8. Competitions

Tournaments, Challenges, and Invitationals are governed by the specific rules displayed within the App for each event. By entering a competition, you agree to abide by those rules, including scoring formats (Stroke Play, Stableford, Match Play, Skins, Best Ball) and handicap adjustments.

Rankings and leaderboard positions are determined by the App’s scoring system. We reserve the right to disqualify participants for rule violations, cheating, or unsportsmanlike conduct.

9. Live Streaming and User Content

9.1 Your Content

By streaming, uploading, or posting content through the Service (“User Content”), you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display such content in connection with operating and promoting the Service.

You represent that you own or have the necessary rights to all User Content you submit, and that your content does not infringe any third-party rights.

9.2 Content Standards

You agree not to post content that is:

• Illegal, threatening, abusive, or harassing
• Defamatory, obscene, or pornographic
• Infringing on intellectual property rights
• Spam, commercial solicitation, or deceptive
• Harmful to minors

We reserve the right to remove any content that violates these standards without notice.

9.3 Recording Notice

When you activate live streaming, your phone’s camera and microphone record your surroundings on the golf course. You are responsible for ensuring that any individuals captured in your stream have been made aware of the recording, in compliance with applicable laws.

10. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

11. Reporting and Conduct

Partner courses may report players for misconduct (fighting, property damage, abusive behavior, etc.) through the Course Portal. Reports are reviewed by LFG staff. Consequences may include warnings, temporary suspension, or permanent removal from the platform.

Users may block other users, which prevents the blocked user from viewing the blocking user’s profile, comments, live events, challenges, or scorecards.

12. Intellectual Property

All content, features, and functionality of the Service - including but not limited to text, graphics, logos, icons, images, audio, video, software, scoring algorithms, LFG level timing, and the overall design - are owned by or licensed to M L M Distributing, Inc. and are protected by copyright, trademark, and other intellectual property laws.

“Links Flyer,” “LFG,” “Blades,” “Grass Pass,” “Grasscal Flatts,” “Grass Half Full,” “Blades of Glory,” “Digital Ranger,” “Jetsetter,” and “Pioneer Club” are trademarks of M L M Distributing, Inc.

You may not copy, modify, distribute, or create derivative works from any portion of the Service without our prior written consent.

13. Third-Party Services

The Service integrates with third-party services, each governed by their own terms:

We are not responsible for the practices or content of third-party services.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

• Uninterrupted or error-free operation of the Service
• The accuracy of course data, tee time availability, or scoring calculations
• The condition, safety, or availability of e-bikes or equipment at partner courses
• The behavior of other users, course staff, or dispatchers

Golf is an inherently physical activity. You assume all risks associated with playing golf, riding e-bikes, and being present on a golf course.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, M L M DISTRIBUTING, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify and hold harmless M L M Distributing, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of a third party

17. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination:

• Your right to use the Service ceases immediately
• Unused Blades are forfeited and non-refundable
• Active Grass Pass subscriptions must be canceled through your device’s app store
• Sections 9.1, 12, 14, 15, 16, and 18 survive termination

18. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in California, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

19. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via in-app notification or email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
